Terms of Service
These Terms of Service ("Terms") govern your access to and use of Undercurrent (the "Platform"), operated by Undercurrent Ltd, a company registered in England and Wales with its registered office in Manchester, United Kingdom ("Undercurrent", "we", "us", "our"). By creating an account or using the Platform you agree to these Terms.
These Terms are in plain English, but they form a binding legal agreement. If you do not agree, do not use the Platform.
1. Who can use Undercurrent
You must be at least 16 years old to create an account. If you are using the Platform on behalf of a band, venue, label, or other organisation, you confirm that you are authorised to bind that organisation to these Terms.
2. Your account
You are responsible for the activity on your account and for keeping your credentials secure. You must notify us promptly if you suspect unauthorised access. Authentication is provided by our partner Clerk; Clerk's own terms apply to your use of that service.
3. Content you post
You retain ownership of everything you post, upload, embed, or otherwise make available on the Platform ("Your Content"). By making Your Content available on the Platform you grant Undercurrent a worldwide, non-exclusive, royalty-free licence to host, display, reproduce, and distribute Your Content solely as necessary to operate, promote, and improve the Platform. This licence ends when you delete Your Content, except where we are required to retain it to comply with law or to enforce these Terms.
You must only post content you own or are otherwise entitled to share. See the Acceptable Use Policy for what is not allowed.
4. Embedded music (MVP scope)
At launch, Undercurrent supports embed-only music playback from third-party providers (Bandcamp, Spotify, SoundCloud). You are responsible for ensuring that the embedded content is yours or is otherwise lawful to embed, and that its continued availability complies with the embedding provider's own terms.
5. Payments and platform fee
Where the Platform facilitates payments (marketplace listings, gigs, services), payments are processed by Stripe via Stripe Connect. Stripe's own terms apply. Undercurrent charges a 5% platform fee on the gross value of successful transactions. Supported currencies at launch are GBP, USD, CAD, AUD, and EUR.
We do not hold seller funds; payouts are made directly by Stripe to the seller's connected account, subject to Stripe's payout schedule.
6. Fees, subscriptions, and refunds
Some features are offered under a paid "Pro" subscription. Subscription fees are billed in advance and are non-refundable except where required by applicable consumer law. Marketplace refunds between buyers and sellers are governed by the Seller Terms and applicable consumer law.
7. Termination
You may close your account at any time from your account settings. We may suspend or terminate your account if you materially breach these Terms or the Acceptable Use Policy, or where required by law.
8. Disclaimers
The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law we disclaim all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law. Subject to that, our aggregate liability arising out of or in connection with these Terms is limited to the greater of (a) GBP 100 and (b) the amounts you paid us in the 12 months preceding the claim.
10. Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of these Terms, except where mandatory consumer-protection laws give you the right to bring a claim in your home jurisdiction.
11. Changes
We may update these Terms from time to time. Material changes will be notified to you by email or in-app notice at least 14 days before they take effect.
